Summary
These Terms of Service (“Terms”) govern your use of services provided by Clay Townsend (“we”, “us”, “our”). By requesting or using our services, you agree to these Terms. If you’re engaging on behalf of an organisation, you confirm you’re authorised to bind that organisation.

Scope of Services
- On-call help & troubleshooting (no contracts required).
- Digital presence: domains, simple sites, profiles, logos, email signatures.
- SOHO/professional tech support, setup, and optimisation.
- Hardware: home servers, workstations, gaming PCs (spec, build, tune).
- Advisory: guidance, best practices, and fit-for-purpose recommendations.
Engagement, Estimates & Scheduling
- We may provide a scoped estimate before starting work. Estimates are not fixed quotes unless explicitly stated.
- Start dates/times are subject to availability and dependencies (e.g., third-party access, parts arrival).
- Where possible, we’ll confirm scope, rates, and any special conditions in writing prior to work.
Pricing & Payment
- Unless specified otherwise, services are billed time-and-materials at published or agreed rates.
- Hardware and third-party purchases may require upfront payment or deposit.
- Invoices are due within the stated payment term. Late payments may pause services and incur reasonable recovery costs.
- All prices may be subject to applicable taxes.
Cancellations & Rescheduling
- Please provide reasonable notice to cancel or reschedule.
- Non-refundable costs (e.g., special-order parts, booked services) may still be charged.
Access & Cooperation
- You agree to provide timely access to systems, premises, and information we reasonably need to perform the work.
- You are responsible for maintaining up-to-date backups of your data unless we are explicitly engaged to provide backup services.
Data, Security & Privacy
- We take reasonable measures to safeguard credentials and confidential information provided to us.
- We recommend password managers and MFA. We can assist with setup on request.
- We handle personal information in line with our Privacy Policy (if published) and applicable laws.
Third-Party Services & Accounts
- We may recommend or configure third-party services (e.g., hosting, email, SaaS). Your use of those services is governed by their own terms.
- You are responsible for ongoing subscription fees, renewals, and compliance with third-party terms.
Hardware Builds
- We source parts to suit your stated requirements and budget. Availability and pricing can change without notice.
- Manufacturer warranties apply to components. We’ll assist with reasonable warranty liaison when feasible.
- Performance targets (thermals/noise/FPS/etc.) are subject to workload, environment, and component variance.
Warranty & Liability
- Services are provided with reasonable care and skill. To the fullest extent permitted by law, we exclude all implied warranties.
- Our liability is limited to re-supply of the services or the cost of having the services supplied again.
- We are not liable for indirect or consequential loss (e.g., lost profits, data loss, business interruption).
Acceptable Use
- No illegal activity, abusive behaviour, or attempts to compromise systems you do not own or control.
- We may decline work that conflicts with our professional standards or legal obligations.
Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the latest version. Continued use of our services after changes constitutes acceptance of the updated Terms.
Governing Law & Contact
These Terms are governed by the laws of Australia. If any provision is found unenforceable, the remaining provisions remain in effect.
